wen Terms of Service - Web App & Telegram Mini App

Applies to: the wen.live web application and the wen Telegram mini app (together, the "Web Services").

1. Who we are and what these Terms cover

The Web Services are operated by AxonTech OÜ, an Estonian private limited company, registry code 17430331, registered address Harju maakond, Tallinn, Kesklinna linnaosa, Tornimäe tn 5, 10145 ("wen", "we", "us"). These Terms of Service (the "Terms") are a binding agreement between you and wen governing your use of the Web Services. By creating an account or using the Web Services, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Web Services.

2. What wen is (and is not)

wen is a non-custodial software interface for crypto trading and related social features. Through the Web Services you can create a self-custodied wallet, view balances read live from public blockchains and trading venues, place spot trades, place perpetual futures ("perps") orders executed on an independent third-party venue, mirror the trades of other users ("copy trading"), access optional paid signal content ("cryptox"), participate in rewards and referral programs, and use social features.

wen is not: a custodian, bank, broker-dealer, investment adviser, portfolio manager, or fiduciary. wen does not hold your funds, cannot move or freeze them, does not execute discretionary decisions on your behalf beyond the instructions and settings you configure, and does not provide investment, legal, or tax advice. Nothing in the Web Services is a recommendation to buy, sell, or hold any asset.

3. Eligibility

You must be at least 18 years old (or the age of majority where you live, if higher), able to form a binding contract, and not barred from using the Web Services under applicable law. You may not use the Web Services if you are located in, organized in, or a resident of any jurisdiction subject to comprehensive sanctions, or if you are a sanctioned or restricted person. You are responsible for ensuring your use of the Web Services, including any specific feature, is lawful where you live. Crypto derivatives and other features are restricted or prohibited in some jurisdictions; using the Web Services where prohibited is a breach of these Terms.

4. Your account and security

You must provide accurate information at signup and keep it current. You are responsible for all activity under your account and for safeguarding your credentials, your 2FA device, and any exported keys. Enable and maintain 2FA. wen will never ask you for your password, 2FA codes, or exported keys. Notify us immediately at support@wen.live of any suspected compromise. We may suspend accounts to protect you, other users, or the Web Services.

5. Non-custodial wallet and keys

A wallet is created for you at signup and secured through our embedded-wallet provider, Privy. wen does not hold, control, or have access to your private keys and cannot move or withdraw your funds. Optional key export is protected by your password and 2FA and is end-to-end encrypted; once exported, you are solely responsible for the security of your keys, and anyone holding them controls the associated funds. Blockchain transactions are irreversible; wen cannot reverse, cancel, or recover transfers, including transfers to wrong addresses or unsupported networks.

6. Trading; market and protocol risks

All trading through the Web Services is initiated by you or by settings you configure. You acknowledge and accept, among others, the following risks: total loss of value; extreme volatility; leverage and liquidation of perps positions; funding-rate costs; slippage and price impact; failed, delayed, or reordered transactions; network congestion and fees; smart-contract, bridge, oracle, and protocol vulnerabilities; MEV; venue downtime; delisting or loss of liquidity of any token; and stablecoin de-pegging. Balances and prices shown are read from third-party chains and venues and may briefly display as unavailable; unavailability of a reading does not mean loss of funds, and displayed data may lag or contain errors. You can lose money, including your entire balance. Never trade more than you can afford to lose.

7. Perpetual futures

Perps orders are routed for execution on an independent third-party venue with its own terms, rules, and geographic restrictions, which you must comply with. wen uses an agent key that can place orders but cannot withdraw funds. Perps are high-risk leveraged instruments and are unlawful or restricted for retail users in some jurisdictions; where that is the case you must not use them, and we may restrict them.

8. Copy trading

Copy trading automatically mirrors the publicly visible trades of a trader you select, at the size and limits you configure. You acknowledge that: copied traders are not employed, vetted, endorsed, or supervised by wen; past performance does not predict future results; copying a trader copies their losses as well as their gains, and results will differ from the copied trader's due to timing, size, fees, and market conditions; you remain solely responsible for selecting, monitoring, and stopping any copy relationship and for your limit settings. Copy trading is not investment advice or portfolio management by wen. If you make your own trades visible to copiers, you grant wen the right to display your positions and performance to other users and you accept that others may mirror them; you owe no duty to copiers and wen owes none on your behalf.

9. cryptox and other signal content

cryptox and any similar content provide general, impersonal market information and signals distributed identically to all subscribers. They are not personalized recommendations, are not based on your circumstances, and are not investment advice. No outcome is promised or implied. Access fees (for example, a one-time unlock) are non-refundable once access is delivered, except where mandatory consumer law provides otherwise. We may modify or discontinue signal services at any time.

10. XP, ranks, rewards, and gamification

XP, ranks, streaks, quests, wheel spins, chests, badges, and similar features ("Rewards") adjust your experience inside wen, including fee discounts. Rewards: are not money, deposits, securities, or tokens, and are not a promise of any future token or distribution; have no cash value and are non-transferable; may be modified, rebalanced, or discontinued at any time; and may be revoked in cases of abuse, fraud, or breach of these Terms. Where randomized rewards are offered, any disclosed odds apply; randomized rewards never require payment to receive a chance.

11. Referral program

Referral rewards accrue under the program terms published in-app, are based on actual fee-generating activity of referred users, and are not compensation for recruitment. We may modify, suspend, or terminate the program prospectively at any time. Prohibited: self-referrals, fake or incentivized sign-ups, spam, misleading promotion, paid advertising on wen's brand terms, and presenting wen as an income opportunity or guaranteed-earnings scheme. We may withhold or claw back rewards obtained through abuse.

12. Fees

Trading fees, discounts, and any service fees are displayed at wen.live/fees and in-app at the time of the transaction. Network (gas) costs sponsored by wen may be changed prospectively. Fee changes apply from posting and do not affect executed transactions. You are solely responsible for all taxes arising from your activity.

13. Social features and user content

You retain ownership of content you post (messages, theses, profiles, team content) and grant wen a worldwide, non-exclusive, royalty-free license to host, display, and distribute it within the Web Services. You must not post content that is unlawful, infringing, deceptive, market-manipulative (including coordinated pumping, false or misleading statements about assets, undisclosed paid promotion), harassing, hateful, or spam. Nothing posted by any user is advice from wen, and wen does not verify user claims, performance statements, or theses. We may moderate, remove content, and restrict accounts at our discretion.

14. Prohibited conduct

You must not: violate law or sanctions; use the Web Services from a prohibited jurisdiction or misrepresent your location; engage in market manipulation, fraud, or money laundering; attack, probe, overload, scrape at scale, or reverse engineer the Web Services; circumvent fees, limits, or security; use another person's account; deploy bots that violate in-app rules; infringe intellectual property; or use the Web Services to harm minors or others.

15. Third-party services

The Web Services interoperate with third parties we do not control, including blockchains, independent trading venues, Privy, Telegram (for the mini app), token issuers, and data providers. Their availability, performance, terms, and acts or omissions are outside wen's control, and wen is not responsible for them. Telegram's own terms govern your use of Telegram.

16. Intellectual property

The Web Services, including the wen name, logo, design, and software, are owned by wen or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Web Services for their intended purpose. No other rights are granted.

17. Changes, availability, and termination

We may modify, suspend, or discontinue any part of the Web Services, and may update these Terms prospectively; material changes will be notified in-app or by email, and continued use after the effective date is acceptance. You may stop using the Web Services and close your account at any time; because wen is non-custodial, you can withdraw your funds at any time before closure. We may suspend or terminate access for breach, legal requirement, or risk to users or the platform; termination does not affect your control of your wallet or funds.

18. Disclaimers

THE WEB SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION, TO THE MAXIMUM EXTENT PERMITTED BY LAW. wen DOES NOT WARRANT THAT PRICES, BALANCES, SIGNALS, LEADERBOARDS, OR OTHER DATA ARE ACCURATE, COMPLETE, OR TIMELY.

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: wen AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL; AND wen'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEB SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO wen IN THE 12 MONTHS PRECEDING THE CLAIM AND (B) €100. NOTHING IN THESE TERMS LIMITS LIABILITY FOR INTENT OR GROSS NEGLIGENCE, DEATH OR PERSONAL INJURY, OR ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND NOTHING AFFECTS MANDATORY CONSUMER RIGHTS IN YOUR COUNTRY OF RESIDENCE.

20. Indemnification

You will indemnify and hold wen harmless from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of law, your content, or your misuse of the Web Services, except to the extent caused by wen's own breach or misconduct and to the extent permitted by applicable consumer law.

21. Governing law and disputes

These Terms are governed by the laws of Estonia, without regard to conflict-of-law rules. Disputes shall be resolved by the courts of Harju County, Estonia, except that consumers in the EU/EEA may bring proceedings in their country of residence and retain all mandatory protections of their local law. EU consumers may also use the European Commission's Online Dispute Resolution platform. Before formal proceedings, contact support@wen.live; most issues are resolved quickly.

22. General

If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a corporate transaction. These Terms, the Privacy Policy, the fee schedule, and any in-app program terms are the entire agreement.
